Corporate Governance
Efforts to Strengthen Governance
Basic Concept
As a Group, we view the task of strengthening global governance as one of our top management priorities. In practice, this entails streamlining and ensuring transparency in operations, continuously improving corporate value, and formulating and strengthening an internal control system. These efforts ensure that we can bolster operational supervision capabilities and fulfill our social responsibilities by effectively running our business.
Board of Directors
The in-house Board Members are experts in their fields with a wealth of knowledge. The Outside Directors are experienced, knowledgeable experts in finance, accounting, risk management, and compliance, helping to create a balanced Board.
Global Governance Framework
Compliance
Compliance Policy
Our employee code of conduct details a policy that ensures thorough compliance with laws and regulations, and fair trade, and prohibits harassment, bribes, the provision of favors, and involvement with antisocial forces, as well as fraudulent and corrupt acts. This policy is made available to all employees in the Conduct Guidelines, and is covered in regular compliance training.
Compliance Framework
Fujikoki Corporation has a Risk and Compliance Committee led by the President, which meets each quarter (or more frequently as needed). The committee reports on compliance violations, shares reports made to the whistleblower hotline, formulates measures, and discusses other compliance initiatives.
Whistleblower Hotline
A shared whistleblower hotline is available inside and outside the Company for both Fujikoki Corporation and affiliated domestic companies, which is operated in line with the Whistleblower Protection Act and guidelines of the Consumer Affairs Agency. Whistleblowing matters are reported regularly at Risk and Compliance Committee meetings, and on an as-needed basis to the Board of Directors.
Each overseas affiliate operates their own whistleblower hotline in accordance with local laws and regulations.

Social Initiatives
Fuji Science and Technology Foundation
We empathize with and support the principles and activities of the Fuji Science and Technology Foundation.
We also continue CSR activities whenever it is within our abilities, including working with local communities.
The Fujii Science and Technology Foundation was established in July 2013 to help contribute to the development of a rich society by improving living environments and promoting energy saving through collaboration with air-conditioning and refrigeration-related groups.
The foundation’s main activities are supporting research that focuses on air-conditioning and refrigeration, hot water supply, and relevant technologies, as well as gathering, providing, and publishing related information.
Enviromental Initiatives
We aim to contribute to society by reducing our impact on the environment. Initiatives hinge on three areas: decarbonization, energy-efficient products, and environmentally hazardous substances.
Decarbonization
Charged refrigerant in products
Coolant for product performance testing
Production-related energy

Products that Support Energy Conservation
Our heat pump cycle-compatible products play a vital role by supporting improved air-conditioning energy conservation, and are used in a variety of domains.
Many of our finished products help in this regard including electronic linear control valves, solenoid valves, regulating valves, check valves, tanks, and drain pumps used in electric vehicles, air-conditioning, and EcoCute hot water supply systems.
Environmentally Hazardous Substances
At each step of our product process, from design to procurement and production, we manage environmentally hazardous substances and do our utmost to reduce usage as part of efforts to limit our environmental impact.
We also keep abreast of changes in domestic and foreign laws and abide by various environmental regulations such as RoHS and ELV so that we can manufacture environmentally conscious products.

Quality Assurance Process
During the early design stages, we work with production factories and incorporate their feedback and requests into the manufacturing process, make preparations for production, and work according to the rules. This helps us identify small quality issues that arise in daily production, preventing them from growing into major problems later on.
-
Product development
Are there any
other concerns?Relevant departments consider the ideas, product design, reliability, profitability, and productivity, then we proceed with commercialization after the internal “Step Meeting”. Each process is highly relevant to quality, and must always be maintained and managed in optimal condition.
-
Production preparation
Can the work proceed
without problems? After finalizing product specifications, the production line is studied and formulated. Also, documentation such as work guidelines are prepared and workers are trained to establish a mass-production framework.
-
Mass-production
Can production
proceed as planned?Sales staff provide input on customer order information, which is used for production at the factory. Finished products manufactured at the factory are then sent to the sales warehouse where they are stored. Later, the products are shipped to the customer based on the order information.
Defect Investigation Process
Quality control departments are located at each major production site to enable swift inspections and provide immediate support to global customers if a defective product is discovered.
The Global Quality Assurance Department then precisely identifies the defect details, checks that the report is appropriate, and takes necessary action.
Quality Improvement Initiatives
At Fujikoki, daily improvement initiatives of Group companies are shared at the annual “QC Circle Contest”, giving other factories the chance to improve while bringing quality to a new level.
Vendor Quality Control
Twice a year (first and second half), a production status briefing is held where vendors learn about quality management so that they can improve the quality of parts they provide.
